BidWingman Terms of Service

Version 2026-10-27
Last updated: October 27, 2026

1. Who we are and what these Terms cover

These Terms of Service ("Terms") are an agreement between you and Brixton Systems LLC, a Georgia limited liability company ("Brixton Systems", "we", "us"). They govern your use of BidWingman, the business development CRM for government contractors available at bidwingman.com (the "Service"). By creating an account, checking the box at signup, or using the Service, you agree to these Terms. If you sign up for a company, you confirm that you have authority to bind that company, and "you" includes the company.

2. The Service

BidWingman helps you track opportunities, contacts, estimates, documents, tasks and teaming partners. It includes an AI assistant called Victor. BidWingman is a business tool. It does not give legal, accounting, tax or contracting advice, and it does not submit bids for you.

3. Accounts and seats

  • You must be at least 18 and use the Service for business purposes.
  • Give accurate information and keep it current.
  • Keep your sign-in credentials private. You are responsible for activity under your account and for the people you invite.
  • Each plan includes the number of seats shown on our pricing page. Extra seats, where a plan allows them, are billed as shown at checkout.

4. Plans, billing and renewal

  • BidWingman is a paid monthly subscription. There is no free trial.
  • Your card is charged when you subscribe, and again each month on the same date until you cancel.
  • Prices are shown on our pricing page and at checkout. Taxes, if any, are added.
  • Payments are processed by Stripe. We do not store your card number.
  • If a payment fails, we may suspend access until it is resolved.
  • We may change prices. We will give you at least 30 days' notice by email before a change affects your subscription.

5. Cancellation and refunds

  • You can cancel at any time from your account settings or by emailing info@bidwingman.com.
  • Cancellation takes effect at the end of the billing period you have already paid for. You keep access until then.
  • We do not refund or credit partial months or unused seats, except where the law requires it.

6. Your content

  • "Your content" means the information, documents and records you enter or upload into the Service, including information about your opportunities, contacts, employees, partners and past performance.
  • You own your content. You give us a limited license to host, copy, process and display it only as needed to run the Service for you, including the features described in the Privacy Policy.
  • You confirm that you have the right to enter your content, including personal information about other people, and that doing so does not violate any law, contract or confidentiality obligation.
  • Applicant data: if you use BidWingman to receive job applications, you are responsible for the notice you show applicants, for having a lawful reason to collect their information, and for how you use and delete it. We process that information only on your behalf and to run the Service.
  • Do not ask applicants for Social Security numbers, bank details, health information or other sensitive data through the application form.
  • New hire data: if you use BidWingman to collect onboarding information from new hires, you are responsible for the notice you show them and for how you use, keep and delete the information. We process it only on your behalf and to run the Service. If your organization has payroll details turned on, this includes Social Security numbers, bank details and tax forms, and you are responsible for deleting them when payroll setup is done.

7. Do not upload restricted data

Do not put any of the following into the Service: classified information; controlled unclassified information that requires FedRAMP, CMMC or similar controlled-environment handling; protected health information; payment card numbers; identity documents other than a driver's license. Social Security numbers, bank account details and tax forms are allowed in one place only: the payroll details part of an onboarding link, when your organization has turned that on. Do not enter or upload them anywhere else in the Service. BidWingman is not built for the other categories.

8. Victor, the AI assistant

  • Victor uses a third-party AI model to answer questions about your pipeline. The Privacy Policy describes what is sent.
  • AI output can be wrong or incomplete. Check it before you rely on it. You are responsible for your bid and no-bid decisions, your pricing and your submissions.

9. Acceptable use

You agree not to: break the law using the Service; share an account with people outside your seat count; try to reach another customer's data; probe, scan or test the security of the Service without our written permission; interfere with the Service or its infrastructure; copy, resell or build a competing product from the Service; upload malware; or use the Service to harass or defraud anyone.

10. Our property

We own the Service, including its software, design and branding. These Terms do not transfer any of that to you. If you send us feedback, we may use it without owing you anything.

11. Third-party services

The Service works with third parties, including Stripe for payments. It can link to BidVictor, another Brixton Systems product, if you choose to connect your accounts. Their terms apply to their services. We are not responsible for services we do not operate.

12. Availability and changes

We work to keep the Service available but do not promise it will be uninterrupted or free of errors. We may update, add or remove features. We will try to give notice of material changes.

13. Suspension and termination

We may suspend or end your access if you break these Terms, fail to pay, or use the Service in a way that puts others or the Service at risk. If we end your account for a reason other than your breach, we will refund the unused part of the current billing period. When your account ends, your right to use the Service stops. You can ask us for a copy of your content as described in the Privacy Policy.

14. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Service will help you win any contract.

15. Limit of liability

To the fullest extent the law allows: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost contracts or lost bids; and (b) our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the event that gave rise to the claim. Some places do not allow certain limits, so these limits apply only to the extent the law permits.

16. Indemnity

You will defend and reimburse us for claims, losses and costs (including reasonable attorneys' fees) arising from your content, your breach of these Terms, or your violation of law or of another person's rights.

17. Governing law and disputes

Georgia law governs these Terms, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Georgia, and you and we consent to those courts' jurisdiction. Before filing a claim, each side agrees to try to resolve the dispute informally by contacting the other and allowing at least 30 days.

18. Changes to these Terms

We may update these Terms. For material changes we will notify you by email or in the Service at least 30 days before they take effect. If you keep using the Service after the effective date, you accept the updated Terms. If you do not agree, cancel before the effective date.

19. General

These Terms and the Privacy Policy are our entire agreement about the Service. If a part is unenforceable, the rest stays in effect. You may not assign these Terms without our consent. We may assign them in a merger or sale of the business. Not enforcing a right is not a waiver of it. Notices to you go to the email address on your account. Notices to us go to info@bidwingman.com.
